ReelFactory Terms of Service

Draft for review. This document hasn’t taken effect yet.

Last updated: 30 October 2026

These Terms of Service ("Terms") are an agreement between you and Wayne Hsu Ltd, a company registered in England and Wales (company no. 16001721) ("ReelFactory", "we", "us"). They cover:

  • our website at https://reelfactory.dev, with its pages, downloads and checkout (the "Site");
  • your ReelFactory account; and
  • your ReelFactory subscription, whether you subscribe on the Site or in the app.

The ReelFactory app itself, and what you may do with it, is governed by the End User Licence Agreement ("EULA"), which you accept when you install or use the app. How we handle personal data is described in the Privacy Policy.

By using the Site, creating an account or subscribing, you accept these Terms. If you don't accept them, please don't use the Site or subscribe.

1. Who may use ReelFactory

1.1 You must be 18 or older, or the age of majority where you live if that is higher, to create an account or subscribe.

1.2 If you subscribe for a company or other organisation, you confirm that you may bind it, and "you" then includes that organisation.

1.3 You are a consumer if you use ReelFactory wholly or mainly outside your trade, business, craft or profession, and a business customer otherwise. Some of these Terms apply differently to each, as they say.

2. Your account

2.1 You sign in with your email address, using a six-digit code we email you, or with your Google account. Keep access to that email or Google account secure: whoever controls it can sign in to your ReelFactory account. Tell us at once at support@reelfactory.dev if you think someone else has used your account.

2.2 An account and its subscription are for one person. Don't share your account, its sign-in codes or its session with anyone else. Each person who uses the app needs their own account and subscription.

2.3 You can use your account on up to 3 Macs at a time. You can remove a Mac in the app's Setup to make room for another, up to 5 removals in any 30 days. Signing out on a Mac doesn't free its place.

2.4 You can ask us to delete your account at any time, in the app's Feedback or at support@reelfactory.dev. We then cancel your subscription and delete your account as the Privacy Policy describes. Deleting your account doesn't give a refund for a paid period.

3. The app

3.1 ReelFactory runs on your Mac and works with your own accounts at third-party services: a Claude subscription used through your own Claude Code installation (Max recommended), and your own ElevenLabs API key. Those accounts, their fees, limits and terms are between you and those providers, and you pay for them separately. ReelFactory doesn't include them.

3.2 The app needs a Mac and the other things listed on the Site (https://reelfactory.dev/download). Please check them before you subscribe.

3.3 The app needs the internet. It checks your subscription with our server: each licence it receives lasts 48 hours and is renewed before it runs out, and if our server can't be reached, the app keeps working for up to 24 hours after that. The instructions its AI agents follow are delivered from our server, only to Macs with a current licence. Without an internet connection beyond that grace period, or once your subscription ends, the app can't make reels. What you have already made stays on your Mac.

3.4 We may update the app and our server, and change or remove features. Some updates may be needed to keep using the app, for example when an older version can no longer work with our server.

4. Your subscription

4.1 What you buy. ReelFactory has one plan: a subscription, billed every 3 months, that lets you use the app on up to 3 Macs for as long as it is paid. There is no free trial: access starts as soon as you subscribe.

4.2 Price. Prices are shown on the Site's pricing page and in the app, in US dollars. While founding seats last, the price for new subscribers rises in steps as seats sell. The price shown when you start checkout is the price you pay: if the seats at that price run out first, the checkout doesn't start and you are shown the new price. Any VAT or sales tax that applies is shown at checkout before you pay.

4.3 Payment. Stripe, our payment processor, takes payment on its own checkout page; we never see your card details. Stripe's terms also apply to the payment. You authorise us, through Stripe, to charge your payment method when you subscribe and at each renewal.

4.4 Automatic renewal. Your subscription renews automatically every 3 months, and your payment method is charged the same price at the start of each new period, until you cancel.

4.5 Your price stays. The price you subscribe at stays the same for as long as your subscription continues. If you cancel and subscribe again later, the price open at that time applies.

4.6 Cancelling. You can cancel at any time in the billing portal ("Manage billing" in the app), or by asking us at support@reelfactory.dev. Cancelling stops the next renewal: you keep access until the end of the period you have paid for, and you aren't charged again.

4.7 Failed payments. If a renewal payment fails, Stripe tries your card again. You keep access for 3 days; after that, access pauses until the payment goes through, and we may end the subscription if it stays unpaid.

4.8 No refunds. Before you pay, you confirm that you want access to start straight away, and that there are no refunds. Subscription fees, including for part of a period, are therefore not refundable, and cancelling doesn't give a refund for the current period.

4.9 Your right to withdraw (EU and UK consumers). If you are a consumer in the EU or the UK, you would normally have 14 days to withdraw from a contract made online. By ticking the box at checkout, you ask for access to start immediately and acknowledge that you lose that right once it does.

4.10 Your legal rights. Nothing in these Terms affects your rights as a consumer. If the app or the service is faulty or not as described, you may be entitled to a repair, a replacement, a price reduction or a refund under the law where you live (in the UK, under the Consumer Rights Act 2015). If a refund is given, for this or any other reason, the subscription it covers ends and access stops at once.

4.11 Chargebacks and fraud. If you dispute a payment with your bank, your account is on hold until the dispute is resolved. We may end a subscription obtained by fraud.

5. Using the Site and ReelFactory fairly

You must not:

a. break, probe, scan or test the security of the Site, our server or the app, or interfere with them (for example by overloading them or spreading malware);

b. access the Site by automated means (bots, scrapers, crawlers) beyond what a public search engine does, or copy its content in bulk; we reserve all rights to text and data mining of the Site's content, including for training AI models (including under Article 4(3) of EU Directive 2019/790);

c. use the Site, its downloads or anything obtained from it to copy, extract or reverse engineer the app, its instructions, prompts or assets, or to get around licence checks or the limit on Macs;

d. share or resell your account, its sign-in codes or its session, or let anyone else use your subscription;

e. use the Site or ReelFactory in breach of the law or of anyone's rights, or impersonate anyone.

6. Intellectual property

The Site and its content (text, design, graphics, videos, the ReelFactory name and logo) belong to us or our licensors and are protected by law. You may view and share the Site's pages for personal, non-commercial purposes. Anything else needs our written permission. Third-party names and trademarks (such as Claude, Anthropic, ElevenLabs, Instagram and Meta) belong to their owners; ReelFactory is not affiliated with or endorsed by them.

If you send us feedback or ideas, you allow us to use them without restriction or payment.

7. Third-party links and services

The Site and the app link to third-party websites and services (for example Anthropic, ElevenLabs, Google and Stripe). We are not responsible for them; their own terms and privacy policies apply.

8. What we promise

8.1 We provide the Site, your account and your subscription with reasonable care and skill.

8.2 Examples of output shown on the Site are illustrations. Your results depend on your input, your Claude and ElevenLabs plans and the AI models, which we don't control.

8.3 We aim to keep the Site and our server available, but they may be interrupted, for example for maintenance or by problems we can't control.

8.4 If you are a business customer, to the fullest extent the law allows, the Site and the service are provided "as is" and "as available", and all warranties and terms not set out in these Terms are excluded.

9. Our responsibility for loss or damage

9.1 If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen, or if, when you subscribed, both we and you knew it might happen. We are not responsible for loss or damage that isn't foreseeable. If digital content we supplied damages a device or digital content belonging to you because we didn't use reasonable care and skill, we will either repair the damage or pay you compensation. ReelFactory is made for creating content, including for brands; where you use it for business purposes, we are not liable to you for loss of profit, loss of business, business interruption or loss of business opportunity.

9.2 If you are a business customer, to the fullest extent the law allows, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, and our total liability arising from or in connection with these Terms is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim and US$100.

9.3 We are not responsible for the services of third parties, including the Claude usage and ElevenLabs credits that ReelFactory spends on your behalf. Liability for the app itself is also set out in the EULA.

9.4 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of your statutory rights as a consumer, or any other liability that the law does not allow to be limited or excluded.

10. Indemnity

If you are a business customer, you will indemnify us against third-party claims arising from your breach of these Terms.

11. Suspension and ending

11.1 You can stop using ReelFactory at any time: cancel your subscription (section 4.6) and, if you wish, ask us to delete your account (section 2.4).

11.2 We may suspend or close your account, or end your subscription, if you seriously or repeatedly break these Terms or the EULA (for example by sharing your account or the app's instructions, or by getting around its licence checks), if you obtained it by fraud, or if the law requires us to. We will tell you why and, where it is reasonable, give you the chance to put things right first. If we end your subscription because you broke these Terms or the EULA, you get no refund for the rest of the period, except where the law requires one.

11.3 If we decide to stop offering ReelFactory altogether, we will tell you at least 30 days before, and refund the subscription fees you paid for any period after the service stops.

12. Changes to these Terms

12.1 We may change these Terms for good reasons, such as changes in the law, in ReelFactory or in how we run it. We will post the new Terms here with a new date.

12.2 If a change affects subscribers in a way that matters, we will tell you in the app or by email at least 30 days before it takes effect. If you don't accept it, you can cancel before then, and the earlier Terms apply until the end of the period you have paid for.

13. Law and disputes

13.1 If you have a problem, please write to us first at support@reelfactory.dev; we will try to resolve it.

13.2 These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute arising from them.

13.3 If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may also bring proceedings in the courts there. If you live in Scotland or Northern Ireland, you may bring proceedings in your own courts.

13.4 If you are a business customer, the courts of England and Wales have exclusive jurisdiction.

14. Other terms

14.1 These Terms, with the EULA and the Privacy Policy, are the whole agreement between you and us about the Site, your account and your subscription.

14.2 You may not transfer your rights or obligations under these Terms to anyone else without our written consent. We may transfer ours to a business that takes over ReelFactory, and will tell you if we do; your rights under these Terms won't be reduced.

14.3 If a court finds part of these Terms unenforceable, the rest stays in force. If we don't enforce a term straight away, we can still enforce it later.

14.4 Nobody other than you and us has any right to enforce these Terms.

14.5 These Terms are written in English, which is the language of the contract.
